What this is

SwapLords provides software and settlement for independent crypto exchanges. An operator runs their own exchange on our platform. We provide the exchange engine, the liquidity and the settlement.

The operator's side

You are responsible for your own customers, your own conduct and your own compliance with the law where you live and where you sell. You may not use an exchange on this platform to break the law, to launder the proceeds of crime, or to impersonate another business. We may suspend an exchange that does.

Our side

We settle the orders your exchange takes and pay out the customers who deposit to our wallets. We keep the platform running and we do not charge you for it. We can change what the platform does, and we will not change the settlement promise above without telling operators first.

Money

Running an exchange here is free. There is no fee, no revenue share and no invoice from us to you. We earn from the exchange flow itself.

Ending it

You can close your exchange whenever you like. Orders already open are still settled. We can close an exchange that breaks these terms, and we will settle its open orders too.

Risk

Crypto is risky and this platform does not take that risk away from anyone. By running an exchange here, or by using one, you accept that a loss can happen in the ordinary course of things and that it is not ours to carry. That includes, without limiting it:

  • Price movement between a quote and a settlement. A floating rate is an estimate and the final amount can be higher or lower.
  • A deposit sent to the wrong address, on the wrong network, after an order expired, below the minimum, above the maximum, or without the memo or tag the coin requires. Coins sent that way are frequently unrecoverable by anybody.
  • A payout address that is wrong, that belongs to someone else, that is an exchange account that rejects the deposit, or that is a contract that cannot receive the asset.
  • Chain conditions: congestion, fee spikes, stalled or dropped transactions, reorganisations, forks, halts, rollbacks and double spends.
  • An asset that loses its peg, is delisted, is frozen or blacklisted by its issuer, or stops being supported.
  • Outages, errors, downtime or insolvency at a liquidity partner, a node provider, a wallet, a bridge, a registrar, a DNS provider or a hosting provider.
  • Anything an operator does on their own exchange, including their copy, their claims, their pricing and their conduct.
  • Loss of access to an account, a device, a key or a seed phrase, and anything done by someone who obtained them.
  • Action by a government, a regulator, a court, a bank or a payment network, and any law that changes what either of us may do.

Liability

The platform and everything on it is provided as it is and as it is available, with no warranty of any kind, express or implied, including fitness for a purpose, merchantability, availability, accuracy of a rate, or that any part of it will be uninterrupted or free of error. To the fullest extent the law allows, SwapLords is not liable for any loss of crypto, funds, profit, revenue, opportunity, goodwill or data, nor for any indirect, incidental, special, consequential, exemplary or punitive loss, however it arises, whether in contract, in tort, by statute or otherwise, and whether or not we were told such a loss was possible. Where liability cannot lawfully be excluded, it is limited in total to the fees we charged you in the twelve months before the event, which for an operator on this platform is zero.

Two things are not covered by that, because they are the promise this platform is built on: an order whose deposit arrives at our wallets, as the order instructed, is settled or refunded by us, and nothing above is meant to exclude liability that the law does not permit anyone to exclude, such as liability for fraud.

Force majeure

Neither side is liable for a failure caused by something outside its reasonable control, including a chain halt, a network partition, an attack, an infrastructure failure, a war, a natural event or an act of a state.

Indemnity

An operator covers us for claims, demands and costs that arise from how they ran their exchange, what they told their customers, or any law they broke while doing it.
